These Terms of Service ("Terms") govern your access to and use of the Reeliv website, applications, and services (collectively, the "Services") provided by Reeliv ("we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Account Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By creating an account, you represent that you meet this requirement and that all information you provide is accurate and current.

2. Your Content

Reeliv allows you to create campaigns, invite contributors, and produce tribute videos using submissions from your invitees. The content you and your contributors submit (videos, audio, photos, text, and metadata) is collectively referred to as "Content."

Ownership. You retain ownership of your Content. By submitting Content to Reeliv, you grant us a worldwide, royalty-free license to host, store, process, transcribe, analyze, and reproduce the Content for the purpose of providing the Services to you.

Contributor consent. When you invite contributors to a campaign, you are responsible for ensuring they understand and consent to their submissions being used in the resulting tribute video.

Acceptable content. You agree not to upload, generate, or distribute Content that:

• Infringes intellectual property, privacy, or publicity rights of any third party.
• Contains harassment, hate speech, threats, or content that is defamatory or unlawful.
• Contains sexual content involving minors, non-consensual intimate imagery, or similar prohibited content.
• Contains malware, viruses, or harmful code.
• Is intended to deceive, defraud, or impersonate another person without consent.

We reserve the right to remove Content that violates these Terms or to suspend accounts that repeatedly post such Content.

3. AI-Generated Output

Reeliv uses artificial intelligence to assemble and edit your tribute videos. AI output may contain errors, inaccuracies, or unexpected results. We do not warrant that AI output will be free of defects. You are responsible for reviewing and approving the final video before sharing or distributing it.

4. Subscriptions and Payments

Some features of Reeliv require payment. Pricing and billing terms are presented at the time of purchase. By subscribing or completing a purchase, you authorize us to charge the applicable fees to your payment method.

Subscriptions auto-renew unless cancelled. You can cancel at any time from your account settings. Cancellations take effect at the end of the current billing period; we do not provide pro-rated refunds for partial periods unless required by law.

Refund requests for one-time purchases (e.g., per-campaign downloads) may be considered on a case-by-case basis within 14 days of purchase if the Services were materially defective. Contact billing@reeliv.net to request a refund.

5. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Reverse engineer, decompile, or attempt to extract source code from the Services.
• Use automated tools (scrapers, bots) to access the Services without our written permission.
• Resell, sublicense, or commercially exploit the Services without our written permission.
• Interfere with or disrupt the operation of the Services.
• Use the Services to send unsolicited bulk email or spam contributors.

6. Intellectual Property

The Services, including the Reeliv name, logos, software, and design, are owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose, subject to these Terms.

7. Third-Party Services

The Services rely on third-party providers (Stripe, Supabase, Vercel, OpenAI, Anthropic, Resend, etc.). Their use is subject to their respective terms. We are not responsible for the availability or content of third-party services.

8. Termination

You may terminate your account at any time from your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms or if your account is inactive for an extended period. Upon termination, your access to the Services ends immediately, and we may delete your Content in accordance with our Privacy Policy.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL REELIV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold Reeliv harmless from any claims, damages, or expenses arising out of your use of the Services, your Content, or your violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by sending you a notice via email or in the Services. Continued use after changes take effect constitutes acceptance.
